Terms and Conditions

Welcome to Imperium. These Terms of Service ("Terms") govern your use of our website, services, and participation in our executive retreat programs. By accessing our services or applying for our retreats, you agree to be bound by these Terms.

These Terms are designed specifically for senior executives and business leaders who value professionalism, confidentiality, and mutual respect in all business relationships.

Service Terms & Expectations

Retreat Participation

• Attendance at all scheduled sessions and activities

• Active participation in group discussions and exercises

• Respect for fellow participants and confidentiality agreements

• Compliance with retreat guidelines and code of conduct

Application Process

• Truthful and accurate information in all applications

• Timely response to application requests and communications

• Completion of required background verification processes

• Acceptance of final selection decisions by Imperium

Payment & Cancellation

• Full payment required upon acceptance to secure retreat placement

• Cancellation policies vary by retreat timing and circumstances

• Refund eligibility subject to specific terms and conditions

1.Acceptance of Terms

By accessing or using Imperium's website, services, or participating in our retreats, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Imperium. Your continued use of our services indicates your ongoing acceptance of these Terms.

2.Eligibility and Application

Imperium retreats are exclusively designed for senior executives, CEOs, and business leaders. To be eligible for our programs, you must:

• Hold a senior executive position (CEO, President, Founder, or equivalent)

• Have significant decision-making authority in your organization

• Demonstrate commitment to leadership development and strategic growth

• Pass our rigorous application and vetting process

• Agree to maintain confidentiality of all retreat content and discussions

Imperium reserves the right to verify eligibility and may request additional documentation or references as part of the application process.

3.Payment Terms and Conditions

Payment Schedule

• 50% deposit due upon acceptance

• Remaining balance due 30 days before retreat

• All payments in USD unless otherwise specified

• Late payment fees may apply

Retreat Participation

• 90+ days: Full refund minus processing fees

• 60-89 days: 75% refund

• 30-59 days: 50% refund

• Less than 30 days: No refund

All fees are non-transferable except in cases of documented medical emergencies or extraordinary circumstances, subject to Imperium's discretion and approval.

4.Confidentiality and Non-Disclosure

Critical Confidentiality Agreement

All retreat participants agree to maintain strict confidentiality regarding discussions, strategies, and information shared during Imperium programs.

Participants acknowledge that retreat discussions may involve sensitive business information, strategic plans, and personal leadership challenges. You agree to:

• Maintain absolute confidentiality of all retreat content

• Not record, photograph, or document sessions without permission

• Respect the privacy and confidentiality of fellow participants

• Use retreat insights solely for your own leadership development

Violation of confidentiality agreements may result in immediate removal from current and future programs, and may subject you to legal action.

5.Prohibited Activities

To maintain the integrity and value of the Imperium experience, the following activities are strictly prohibited:

• Sharing confidential retreat content or participant information

• Soliciting business from fellow participants during retreats

• Violating intellectual property rights of Imperium or speakers

• Recording sessions without explicit written permission

• Disrupting retreat activities or creating hostile environments

• Using retreat access for competitive intelligence gathering

All fees are non-transferable except in cases of documented medical emergencies or extraordinary circumstances, subject to Imperium's discretion and approval.

6.Intellectual Property Rights

All content, materials, methodologies, and intellectual property provided during Imperium retreats remain the exclusive property of Imperium and our licensed partners:

• Proprietary Content: All retreat materials, frameworks, and methodologies

• Licensed Use: Personal use only for your leadership development

Participants may use insights gained for their own leadership development but may not reproduce, distribute, or commercialize Imperium's proprietary content or methodologies.

7.Limitation of Liability

While Imperium strives to provide exceptional experiences and valuable insights, we cannot guarantee specific business outcomes or results from retreat participation:

Service Limitations

• Imperium provides educational and networking experiences, not business consulting

• Individual results may vary based on implementation and circumstances

• We are not liable for business decisions made based on retreat insights

• Force majeure events may affect retreat scheduling and delivery

Our liability is limited to the amount paid for retreat participation. We recommend consulting with your legal and financial advisors before implementing any strategic changes discussed during retreats.

8.Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes will be resolved through binding arbitration in Dallas, Texas, conducted by experienced commercial arbitrators.

Jurisdiction

Exclusive jurisdiction for any legal proceedings lies with the courts of Dallas County, Texas.

9.Modifications to Terms

Imperium reserves the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes through:

• Email notifications to registered participants

• Prominent notices on our website

• Direct communication during retreat interactions

Continued use of our services after notification of changes constitutes acceptance of the modified Terms.
